She assists clients in private placements, mergers and acquisitions and going public in Canada and the United States.

Kari also assists in transactions including reverse takeovers, PIPE transactions, capital pool company ("CPC") qualifying transactions, equity and convertible debt financings, cross-border transactions, asset and share purchases and exchange listings.

Kari advises Canadian and U.S. companies with respect to incorporation, regulatory compliance, corporate governance, shareholder meetings and continuous disclosure requirements.

EDUCATION

Kari obtained a Bachelor of Arts degree in 1992 from the University of Western Ontario and a Bachelor of Laws degree from the University of British Columbia in 1996. She was called to the Bar of New Brunswick in 1997 and worked as a Foreign Service Officer with the Department of Foreign Affairs and International Trade for six years. Her work at Foreign Affairs included a posting at the Canadian High Commission in Cameroon as the Political and Economic Programme Manager and Vice Consul.

She was admitted to the New Brunswick Bar in 1997 and the British Columbia Bar in 2005.
